MCA V3 Portal: Key Changes and Compliance Guide for Businesses

The Ministry of Corporate Affairs (MCA) has rolled out Version 3 (V3) of its e-filing portal, marking a significant shift in how companies file statutory documents. With 38 e-forms migrating to V3 from 14th July 2025, businesses must adapt to new processes to ensure compliance. Here’s what you need to know:
1. What’s New in V3?
Web-Based Forms: Gone are the days of downloading PDFs. Forms are now filled online with auto-save, pre-filled data, and real-time validation.
Linked Filings: Forms like AOC-1 and AOC-2 must be filed as linked attachments to parent forms (e.g., AOC-4), streamlining dependencies.
Offline Utility: For annual filings, users can download Excel templates, work offline, and upload completed files—ideal for bulk submissions.
Enhanced Tracking: The "My Applications" feature lets users track form statuses (e.g., "Pending Payment" or "Resubmission Required").
2. Critical Compliance Updates
New Forms: Six forms, including AOC-2 (related-party contracts) and Extract of Auditor’s Report, debut in V3.
CSR-2: Now a linked filing for FY 2024-25 onwards; standalone filings are allowed only for earlier years.
MGT-7/MGT-7A:
Must include gender-wise shareholder counts.
Photographs of registered offices are mandatory.
Share class details can be edited but won’t update master data unless filed via SH-7/PAS-3.
ADT-4: Auditors must file fraud reports online (non-STP) under Section 143(12).
3. Transition from V2 to V3
Pending V2 forms will migrate to V3 but must be resubmitted by 15th August 2025 if marked for "Resubmission."
Forms in "Pending Payment" status in V2 will be cancelled in V3.

Sequential Filing: File annual forms (e.g., AOC-4 before MGT-7) to auto-populate prior-year data.
DSC Checks: Ensure DSC is registered in V3 and valid.
